1. Scope of Marketing Retainers & Creative Deliverables
Smart Marketing Solutions provides performance marketing services across Creative Content Design, Omnichannel Campaign Management, Paid Advertising, and Custom Web Applications. All deliverables (post quotas, ad creatives, videos, reports) are itemized and executed according to the chosen package tier (Starter, Growth, or Premium) or standalone project agreement.
2. Direct Media Ad Spend
Ad spend budgets for Meta Ads (Facebook & Instagram), Google Ads, YouTube, and third-party advertising platforms are paid directly by the client using their designated business credit card or payment method on the ad network. Agency subscription fees cover strategy, campaign architecture, A/B testing, copywriting, creative production, and daily performance optimization.
3. Billing, Invoicing & GST Compliance
All plans are billed in Indian Rupees (INR) plus applicable 18% Goods & Services Tax (GST). Subscriptions are payable in advance on a monthly, quarterly, or annual basis. Official B2B tax invoices with valid GSTIN are issued promptly to enable registered business clients to claim full Input Tax Credit (ITC).
4. Cancellation & Non-Refundable Nature of Work
Due to the bespoke nature of digital labor, strategic research, custom design creation, and dedicated team allocation, payments for initiated subscription cycles, creative assets, or strategic reports are strictly non-refundable. Clients on month-to-month retainers may cancel future renewals with 7 business days' written notice prior to the start of the subsequent billing cycle.
5. Intellectual Property & Asset Ownership
Upon full payment of applicable invoices, all final approved promotional graphics, video creatives, flex designs, and custom code developed specifically for the client become the commercial property of the client. Smart Marketing Solutions reserves the right to showcase approved publicly published work in our agency portfolio.
6. Governing Law & Dispute Resolution
These terms are governed by the laws of India. Any disputes arising in connection with services rendered shall be subject to the exclusive jurisdiction of the competent courts in Tamil Nadu, India.
